Terms of Service

Last updated: 18 July 2025

1. Terms

These Terms of Service ("Terms") govern use of spacebackend.co (the "Service"), operated by Spacebackend S.a r.l. ('the Company,' 'we,' 'us,' or 'our'), at Boulevard Grande-Duchesse Charlotte 22, 1855 Luxembourg. The Service is an AI-based platform for spacecraft engineering teams that reads Interface Control Documents (ICDs) and generates flight software modules, TM/TC packet encoders, unit test suites, and requirements traceability matrices. By using the Service, you accept these Terms. If you do not, do not use the Service.

If you are a consumer, meaning a natural person acting outside your trade, business, craft, or profession, these Terms do not limit your statutory rights in your country of residence.

2. Service Use

  • You must be 18 or have parental or guardian consent to use the Service.
  • You must not use the Service unlawfully, disrupt its operation, or seek unauthorised access to connected accounts, systems, or networks.
  • You must not copy, scrape, or reverse-engineer the Service except where mandatory law permits.
  • The Service is for professional spacecraft software development. Do not upload ICDs or other technical documents subject to export controls, including the U.S. International Traffic in Arms Regulations or Export Administration Regulations, unless you hold the required authorisation. The Company does not warrant compliance with any safety certification standard, including DO-178C or ECSS-E-ST-40C. The using organisation remains solely responsible for mission-specific safety requirements.

3. Intellectual Property

The Service, including software, design, and documentation published by the Company, belongs to the Company or its licensors and is protected by EU and international intellectual-property law. During your subscription, you receive a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose.

4. Your Content and Generated Artifacts

You are responsible for ICDs and other documents submitted to the Service. You represent that you may upload and process them and that doing so violates no applicable export-control, confidentiality, or intellectual-property obligation.

You retain all intellectual-property rights in uploaded ICDs and generated artifacts. The Company claims no ownership of your generated output. You grant the Company a limited, non-exclusive licence to process, store, and transmit that content and those artifacts solely to provide and operate the Service for your account. The Company will not use your ICD content to train models for third parties or improve the Service for other customers.

5. Right of Withdrawal (Consumer Contracts)

Where you enter into a paid contract with us as a consumer at a distance, you have the right to withdraw within 14 days without giving any reason, under the EU Consumer Rights Directive (2011/83/EU). To exercise the right, contact us at [email protected] with a clear statement of your intention to withdraw. We will refund all payments received within 14 days of receiving your withdrawal notice.

For paid subscription plans (Team, Program), the right of withdrawal applies at the start of the first billing period. This clause applies only to paid service tiers and is without prejudice to any statutory consumer rights in your country of residence.

6. Disclaimers and Statutory Guarantees

The Service is provided "as is" and "as available". Nothing in these Terms excludes or limits the Company's liability for (a) death or personal injury caused by negligence, (b) fraud or fraudulent misrepresentation, or (c) any other liability that cannot be excluded under mandatory law. Statutory guarantees that apply to consumers under EU law are not affected by these Terms.

Generated code artifacts are derived automatically from your documents. The Company does not warrant that output is error-free or suitable for flight-critical, safety-classified, or mission-critical use without independent review and validation by a qualified engineer.

7. Liability Limits

To the extent permitted by law, the Company's total liability for any claim arising from or related to the Service will not exceed EUR 100, except for liability that mandatory law does not permit to be limited.

8. Termination

The Company may suspend or terminate access for material breach of these Terms. Provisions surviving termination include Sections 3, 4, 6, 7, 9, and 10.

9. Law and Jurisdiction

These Terms are governed by the laws of Luxembourg.

The courts of Luxembourg, Luxembourg have exclusive jurisdiction over any dispute arising from or related to these Terms, subject to the mandatory consumer-protection rules of your country of residence (Articles 17-19, Regulation (EU) 1215/2012 (Brussels Ibis)). If you are a consumer, you may also bring proceedings before the courts of your country of residence, and the Company may only bring proceedings against you in the courts of your country of residence.

The European Commission provides an Online Dispute Resolution platform at ec.europa.eu/consumers/odr. The Company does not commit to using that platform but will cooperate where required by applicable law.

10. Changes

The Company may update these Terms. Material changes will be communicated by posting a new "Last updated" date. Continued use after the effective date constitutes acceptance of the revised Terms.
